You work independently. Your clients send the contracts. Those contracts were written by their legal team — not yours. Clavico reads them for you: risk score, revenue leakage, and negotiation guidance in under 3 minutes.
Scan your next client contract →Independent consultants and freelance professionals occupy a structurally disadvantaged position in every client contract negotiation: the client is larger, repeats this process more often, and has legal resource you don't. The contracts they send reflect that.
Client MSAs, engagement letters, and statements of work are routinely drafted to:
None of these terms are inevitable. All of them are negotiable — before you sign.
1. IP assignment
Most client contracts include a clause assigning ownership of all "work product" or "deliverables" to the client immediately on creation or delivery. If you develop proprietary frameworks, templates, or methodologies that you use across multiple clients, a broad IP assignment clause may give the first client who insists on it ownership of intellectual property that defines your practice.
The negotiation: retain ownership, grant the client a perpetual licence to use what you deliver for their business.
2. Scope definition
Vague scope language — "such services as the client may reasonably require", "support and assistance from time to time", open-ended deliverable descriptions — creates an unbounded obligation. Every hour of additional work you perform under that language is delivered at no extra cost.
The negotiation: tight scope in a Statement of Work, with explicit change order provisions for anything additional.
3. Payment terms
Net 60 and Net 90 payment terms are common in corporate client contracts. On a $20,000 engagement, Net 90 means waiting three months after delivery. For a sole trader or small consultancy, that can mean bridging the full project cost before payment arrives.
The negotiation: milestone billing, upfront deposits, or shorter payment windows — most clients will accept Net 30 with some pushback.
4. Non-compete and non-solicitation
Non-compete clauses can restrict you from working with competitors or in your sector for months or years after an engagement. Non-solicitation clauses may prevent you from working with the client's customers or employees. Both are negotiable in scope, duration, and geography.
"The client's standard contract is a starting point, not a final offer. Clavico tells you where to push back."
